Assistant General Counsel, M&A

📋 Description

• Lead M&A activities in alignment with Axon’s business and legal objectives.
• Advise on securities laws, reporting, regulatory compliance, and corporate governance.
• Collaborate with Board, C-suite, Corporate Development, and SEC/Financial teams.
• Oversee due diligence, coordinate with outside counsel, and manage complex transactions.
• Draft, review, and negotiate transaction documents (purchase agreements, term sheets, NDAs, etc.).
• Provide post-merger integration legal support for contracts and regulatory matters.

🎯 Requirements

• J.D. from an accredited school; admission to a US State Bar.
• 5-7 years of experience with top-tier law firm; in-house experience a plus.
• Extensive expertise in M&A, securities law, and corporate governance.
• Proven track record handling complex M&A in tech or financial services sectors.
• Strong writing, analytical, negotiation, and presentation skills.
• Ability to collaborate with executive leadership and cross-functional teams.
