📋 Description

• Public-company readiness: build governance and disclosure infrastructure for a public company.
• IPO execution: coordinate registration and diligence, underwriter coordination, and listing process.
• Capital markets and financings: lead legal work on equity/debt financings, facilities
• M&A and strategic transactions: structure, diligence, LOIs, POs, and post-close integration
• Corporate governance: manage board/mechanics, charters, and related-party transaction reviews.
• Equity compensation: collaborate on options/RSUs, 409A, and equity program design for public

🎯 Requirements

• D. and active membership in good standing in a U.S. state bar; admitted in California or eligible
• 8–15 years of post-J.D. securities and capital markets experience at a leading firm.
• Fluency in Securities Act/Exchange Act frameworks governing private financings and public reporting.
• Public company experience with SEC reporting (10-K/10-Q/8-K) and governance requirements.
• Proven track record moving complex processes to close; able to explain legal concepts to
