📋 Description

• Lead acquisitions, strategic investments, and other corporate deals through lifecycle.
• Partner with Finance and Operations on deal strategy and execution.
• Support fundraising, diligence, and investor relations docs under tight timelines.
• Manage equity programs: options, RSUs, 409A, cap table hygiene, secondaries.
• Advise on securities laws for a fast-scaling private company.
• Governance work: approvals, subsidiary formation, and processes templates.

🎯 Requirements

• J.D. and active U.S. State Bar admission.
• 6+ years in corporate law, M&A, or growth tech environments.
• Proven drafting/negotiating M&A, investment docs, term sheets, and diligence.
• Experience with venture financing and securities questions.
• Knowledge of equity compensation and liquidity events.
• Strong governance, cross-functional collaboration, and communication.
