Associate General Counsel, Corporate

📋 Description

• Lead on asset-backed securities transactions, debt and structured debt transactions, M&A
• Draft, review, and negotiate transaction docs, credit facilities, financing agreements, and
• Provide legal guidance to Finance and Capital Markets executives balancing legal and commercial
• Support public-company readiness initiatives for SEC reporting and disclosure obligations.
• Manage external counsel for Capital Markets and Finance matters, ensuring quality and
• Monitor legal and regulatory developments to identify risks and opportunities.

🎯 Requirements

• JD from an accredited law school and active U.S. state bar membership.
• At least 5 years law firm experience or 7+ years in-house or combined.
• Hands-on drafting and negotiation of sophisticated corporate, financing, and commercial agreements.
• Experience supporting SEC reporting and disclosure (10-K/10-Q/8-K/proxy).
• Strong knowledge of SEC rules and corporate disclosure requirements.
• Excellent written/verbal skills and ability to explain issues to non-legal stakeholders.
