Assistant General Counsel, M&A

📋 Description

• Develop the legal strategy for M&A aligned with business goals.
• Advise on Securities laws and reporting requirements.
• Drive governance with the Board and committees with the CLO.
• Lead due diligence for potential M&A and capital markets deals.
• Manage external counsel and legal services.
• Draft, review, and negotiate key transaction documents.

🎯 Requirements

• J.D. from an accredited school with top academics.
• Admitted to a US State Bar.
• 5-7 years at a top-tier law firm; in-house a plus.
• Expertise in M&A, securities law and corporate governance.
• Extensive experience with complex M&A in tech or financial services.
• Strong writing, analytical, negotiation and communication skills.
